Terms of Use

By accessing and using the Visualnet platform, you agree to be bound by these Terms of Use. If you are acting on behalf of a company or organisation, you confirm that you have authority to accept these terms on its behalf.

1. Purpose and scope

These Terms of Use govern access to and use of the Visualnet platform (hereinafter, "the Platform"), owned by Production Lifecycle Management, S.L., a company incorporated under Spanish law with registered office in Barcelona, Spain.

The Platform is a professional B2B service for the film and TV production industry, comprising: (i) a global directory of film and TV production service providers; (ii) the Visualnet procurement module for managing tenders and sourcing; and (iii) the Studio & Auditor Programme for television networks, studios and audit firms.

2. Access and registration

2.1 Account types

The Platform operates with the following user profiles:

  • Production Company: a film or TV production company able to create projects and issue requests for quotation (RFQs).
  • Supplier: a company or professional in the film and TV industry who can receive tender invitations and submit bids.
  • Studio & Auditor Programme: a corporate client (studio, network, audit firm) with a private, co-branded control panel and NISR 4400 certification.

2.2 Registration requirements

Registration on the Platform is reserved for individuals aged 18 or over acting in the exercise of their professional or business activity. Access to full Directory profiles and the Visualnet module requires a verified account.

2.3 Access credentials

The user is responsible for maintaining the confidentiality of their access credentials. Visualnet shall not be held liable for damages arising from the unauthorised use of the user's credentials where the user has failed to report loss or theft within a reasonable time.

3. Description of the Visualnet service

Visualnet is the Platform's procurement module. It enables Production Companies to:

  • Create production projects classified by phase (Development / Pre-Production).
  • Issue requests for quotation (RFQs) addressed to qualified suppliers according to categories and activities.
  • Receive, compare and award bids with automatic generation of a market benchmark.
  • Obtain an immutable audit trail compliant with the NISR 4400 standard.

RFQs published in Phase A (Development) are indicative only and create no contractual obligation between the parties. RFQs in Phase B (Pre-Production) are binding and generate auditable documentation under NISR 4400.

4. Fees and billing

4.1 Organic model

Registration as a Supplier in the Visualnet Directory is free of charge. Operational access to Visualnet requires a minimum initial deposit of €500 + VAT in the Production Company's Wallet. Publishing RFQs and closing projects are subject to the following fees, unless otherwise agreed:

  • RFQ — Development Phase: €15 + VAT per RFQ published. Automatically deducted from the Wallet at the time of publication.
  • RFQ — Pre-Production Phase: €60 + VAT per RFQ published. Automatically deducted from the Wallet at the time of publication.
  • Closing commission: 3% + VAT on the awarded Below the Line (BTL) production budget at project close. The BTL figure is calculated and sealed automatically by the system from adjudication data — never declared by the user.

Payment is charged to the user's Wallet balance, which can be topped up by credit card through the certified payment provider (Stripe). The system will block the publication of new RFQs if the Wallet balance is insufficient.

4.2 Studio & Auditor Programme

The financial terms of the Studio & Auditor Programme are established by a framework agreement negotiated individually with each client. The model is based on a Tech Fee of 2%–3% on the eligible Below the Line (BTL) production budget processed through the platform, calculated automatically by the system at the close of each project or period.

Exact fees, volume tiers, SLAs, co-branding terms and the billing cycle are specified in the agreement signed by the parties. Visualnet applies a 20% wholesale discount when the client is an audit firm billing the service to its end client.

4.3 Refunds

Published RFQs are non-refundable, as the supplier notification service and audit trail generation are executed immediately upon publication. Unused Wallet balances may be refunded upon written request, subject to applicable handling fees.

5. User obligations

The user undertakes to:

  • Use the Platform exclusively for legitimate purposes in the exercise of their professional activity.
  • Provide accurate, up-to-date and complete information during registration and throughout their activity on the Platform.
  • Not publish fictitious or speculative RFQs, or RFQs for purposes other than the genuine procurement of film and TV production goods and services.
  • Not attempt to access data or functionalities for which they do not hold express authorisation.
  • Not interfere with the technical operation of the Platform or introduce malicious code.
  • Comply with applicable regulations on procurement, data protection and competition.

6. Intellectual property

All content, designs, software, databases and functionalities of the Platform are the exclusive property of Production Lifecycle Management, S.L., or have been licensed to it, and are protected by Spanish and international intellectual and industrial property legislation.

The user does not acquire any intellectual property rights in the Platform by mere use thereof. Reproduction, distribution, transformation or public communication of any element of the Platform without prior written authorisation is expressly prohibited.

Content contributed by the user to the Platform (company descriptions, documents attached to RFQs and bids) remains the property of the user. The user grants Visualnet a non-exclusive, royalty-free licence to store, process and display such content solely in the context of providing the service.

7. Confidentiality and tender process data

The amounts, terms and data contained in bids submitted to an RFQ are strictly confidential. Visualnet guarantees that:

  • Suppliers do not have access to the bids of competing suppliers during the open tender process.
  • The market benchmark is presented in aggregated and anonymised form.
  • Individual bid data is only visible to the Production Manager of the project and authorised users of the awarding Production Company.
  • Under the Studio & Auditor Programme model, the designated Auditor has read-only access to the process audit trail, with no access to individual data of non-awarded suppliers.

8. Limitation of liability

Visualnet acts as a technology intermediary and is not a party to the commercial transactions arising from the use of the Platform. Accordingly, Visualnet accepts no liability for:

  • Failure to honour agreements reached between Production Companies and Suppliers through the Platform.
  • The accuracy, quality or suitability of services offered by Suppliers.
  • Award decisions made by Production Companies.
  • Service interruptions caused by force majeure, cyberattacks or third-party infrastructure failures.

Visualnet's total cumulative liability towards a user shall in no event exceed the amounts actually paid by that user to Visualnet in the twelve months preceding the causative event.

9. Data protection

The processing of personal data in connection with the use of the Platform is governed by Visualnet's Privacy Policy, which forms an integral part of these Terms of Use. Visualnet acts as Data Controller in respect of registered users' data, and as Data Processor in respect of personal data of third parties entered by the user on the Platform in the context of their projects and RFQs.

10. Term and termination

The service agreement between Visualnet and the user is of indefinite duration and takes effect from the moment the account is activated. Either party may terminate it at any time, without prejudice to obligations already incurred.

Visualnet reserves the right to suspend or cancel the access of a user who breaches these Terms, with prior notice where circumstances allow. In cases of fraudulent, abusive or unlawful use, suspension may be immediate.

Following account cancellation, the user's data will be retained for the period legally required to address possible claims, and thereafter deleted or anonymised in accordance with the Privacy Policy.

11. Amendments to these Terms

Visualnet may amend these Terms of Use at any time, notifying registered users at least 30 days in advance by email to the registered address. Continued use of the Platform after the amended Terms enter into force implies acceptance thereof.

12. Governing law and jurisdiction

These Terms are governed by Spanish law. For the resolution of any dispute arising from the interpretation or performance of these Terms, the parties, expressly waiving any other jurisdiction that may apply to them, submit to the jurisdiction of the Courts and Tribunals of the city of Barcelona.

The foregoing is without prejudice to the rights of consumer users under the consumer protection legislation applicable in their place of residence.
